Terms and Conditions for Newspacts

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Newspacts platform (“Platform”) and any services offered by Newspacts (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Services.  

2. Definitions

  • “Content” means any text, data, information, graphics, images, photographs, audio, video, or other materials uploaded, posted, or submitted to the Platform by you.
  • “Partner Website” means a website or online publication that has entered into a news pact agreement with Newspacts.
  • “User” means any individual or entity that accesses or uses the Services.

3. Use of the Platform

  • You may only use the Platform for lawful purposes and in accordance with these Terms.
  • You agree not to use the Platform:
    • In a manner that violates any applicable law or regulation. 
    • For any purpose that is prohibited by these Terms.
    • In a manner that could damage, disable, overburden, or impair the Platform.
    • To interfere with the use and enjoyment of the Platform by any other user.
    • To gain unauthorized access to any part of the Platform or any other user’s account.
    • To impersonate any person or entity.
    • To upload or transmit any viruses, malware, or other harmful code.

4. Content

  • You are solely responsible for any Content you upload, post, or submit to the Platform.
  • You represent and warrant that you have all necessary rights and licenses to upload, post, and submit such Content to the Platform.
  • You grant Newspacts a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, distribute, and translate your Content for the purpose of providing the Services.
  • You agree not to upload, post, or submit any Content that is:
    • Illegal, obscene, defamatory, threatening, harassing, abusive, hateful, or discriminatory.
    • Infringes on the intellectual property rights of any other person or entity.
    • Violates the privacy of any other person or entity.
    • Contains viruses, malware, or other harmful code.

5. Partner Websites

  • Newspacts may enter into news pact agreements with Partner Websites. These agreements may allow Partner Websites to share your Content with their users.
  • You agree that your Content may be shared with Partner Websites in accordance with these Terms and any applicable news pact agreements.
  • You can opt out of having your Content shared with Partner Websites by contacting Newspacts at editorial@newspacts.com.

6. Termination

  • Newspacts may terminate your access to the Platform at any time, for any reason, or no reason at all, with or without notice.
  • You may terminate your access to the Platform at any time.

7. Disclaimer

  • THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.   
  • NEWSPACTS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR VIRUS-FREE.
  • NEWSPACTS DOES NOT WARRANT THAT THE RESULTS OBTAINED BY THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

8. Limitation of Liability

  • IN NO EVENT SHALL NEWSPACTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF NEWSPACTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.   

9. Indemnification

  • You agree to indemnify and hold harmless Newspacts, its officers, directors, employees, agents, and licensors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorney’s fees) arising out of or in connection with your use of the Services or your violation of these Terms.  

10. Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions.  

11. Dispute Resolution

  • Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be held in [Abuja, FCT].  

12. Entire Agreement

  • These Terms constitute the entire agreement between you and Newspacts with respect to the subject matter of these Terms and supersede all prior or contemporaneous communications, representations, and understandings, whether oral or written.
